ASSOCIATION
OF COUNTY ENGINEERS OF ALABAMA
CONSTITUTION
AND BY-LAWSFirst:
The name of the Association shall be the Association of County Engineers of Alabama,
an affiliate of the Association of County Commissions of Alabama (ACCA).
Second:
The voting membership of the Association shall consist of County Engineers
of the Member Counties of the State of Alabama. Other membership in the Association
is outlined in these by-laws.
Third:
The purpose of the Association is to promote the construction and maintenance
of good roads in the Counties of Alabama, to promote the spirit of cooperation
between the County Road Departments and the State Department of Transportation,
and by the exchange of ideas, to give all Counties in the State the advantages
of the Engineering profession.
Fourth:
The officers of the Association shall consist of a President, Vice-President,
Secretary-Treasurer, a Director from each group of Counties comprising each Division
of the State of Alabama Department of Transportation, each of the Past Presidents
of the Association who are voting members, and a representative of the member-trainees.
The Executive Committee of the Association shall consist of all officers, the
Immediate Past President, any voting member who is an officer with NACE, and any
other member having a unique position as determined by the Executive Committee.
Only voting members shall be eligible to hold the positions outlined above, except
as provided otherwise.
Fifth: All
officers shall be elected by a majority vote at the annual meeting and shall hold
office until the next annual meeting or until their successors are elected. The
Vice-President shall preside in the absence of the President and shall assume
all duties of the President should he or she be unable to complete his or her
term of office. The Vice-President shall serve as Chairman of the Annual Conference
Planning Committee and as Chairman of the Education Committee. Each year the Vice-President
shall convene a meeting of the Education Committee to review the content and financial
condition of the Association's educational program and report to the membership
during the annual conference.
The Secretary-Treasurer
shall prepare and present minutes of all membership and Board of Director's meetings.
He or she shall also present an annual financial report to the Association's Board
of Directors during the annual conference. The Secretary-Treasurer shall also
monitor the conduct of the Division meetings required in Section 9 and report
the results of such meetings during the Association's annual conference.
Sixth:
All vacancies, except the office of President, occurring between the regular
annual meetings shall be filled by appointment by the Executive Committee.
Seventh: A Quorum must be present to transact
any business. A majority of members shall constitute a Quorum.
Eighth:
The annual membership fee, as determined by a vote of the membership, shall be
paid to the Secretary-Treasurer of this organization, and will entitle this member
to one vote. The Secretary-Treasurer shall send fees notices to all members prior
to October 1st for fees payable by January 1st. Should any fees remain unpaid
on January 1st following, the Secretary-Treasurer shall send final notices, and
any member who has not paid his fee by April 1st shall be dropped from the official
roll. The member may be reinstated on payment of all fees in arrears and with
the approval of the Executive Committee.
Ninth:
There shall be an annual meeting of this Association, the date and place to be
determined by the Association of County Commissions of Alabama. Other meetings
may be called by the Executive Committee. There shall also be held in each Division
at least one Division meeting prior to the annual meeting for the purpose of proposing
resolutions to be acted upon at the annual meeting of the Association and considering
other important matters. Any Division Director who fails to conduct the Division
meeting shall be ineligible for re-election during the following year.
Tenth:
At any annual meeting of this Association, this Constitution may be amended by
two-thirds vote of the membership, or at any other meeting provided that ten days
notice of each proposed amendment shall have been sent to each member of the Association.
Eleventh: There shall be a Nominating
Committee composed of the three most recent Past Presidents serving as County
Engineers. The Immediate Past President shall serve as the committee Chairman.
The committee shall propose the slate of officers, nominate and award the County
Engineer of the Year Award, and carry out other duties as assigned by the President.
The President shall also appoint an Annual Conference Planning Committee and an
Education Committee to be chaired by the Vice-President.
The
three officers and the Past Presidents shall also compose the Association's Legislative
Committee, which shall represent the Association before state legislative committees
and shall meet to propose legislation for consideration by the ACCA. The immediate
past President shall serve as chairman of the Legislative Committee.
The
Directors from each Division, the representative of the member-trainees, and the
Vice-President shall compose the Education Committee. This committee shall meet
annually, upon the call of the Vice President, as provided herein.
Twelfth:
There shall be Associate membership in this Association, the Executive Committee
shall have authority to accept associate membership from individuals interested
in our Association, fees to be determined by a vote of the membership. These fees
shall be paid annually, and said associate members shall have neither voice nor
vote in the Association. The procedure for collecting fees for associate members
shall be the same as provided in Section 8.
Thirteenth:
There shall be Member-Trainee membership in this Association, the Executive Committee
shall have authority to accept member-trainee membership from individuals certified
as Engineers-in-training with the Counties of the State of Alabama, and other
individuals classified as assistants to the County Engineer, fees to be one-half
of the member dues and paid annually. The procedure for collecting fees for member-trainee
members shall be the same as provided in Section 8.
